Taylors Merchandise – Terms and Conditions (22 June 2022).
1. Introduction:
1.1 The following Terms and Conditions apply in whole to all individuals and entities who visit, create an account, place an order or simply interact with the Taylors Football Souvenirs Limited (trading as “Taylors Merchandise”) website (“Site”), a company with registered address of Wynbury Stables Main Street, West Witton, Leyburn, North Yorkshire, DL8 4LR and company number of 04806501.
1.2 By visiting or interacting with this Site you agree to the applicability of these Terms and Conditions. For this reason, it is important that you take your time and read this document carefully.
1.3 Please note that these Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. If you are accessing this Site from outside of England and Wales you, as a user of this Site, are solely responsible for complying with all local laws and regulations.
2. Description:
2.1 Taylors Merchandise are a leading worldwide distributor of branded and official merchandise supplying exclusively to the trade.
2.2 The company was founded in the 1960 selling sport related products. Over the years, the company has expanded and the focus moved towards football and entertainment merchandise. In 2021, the company rebranded to Taylors Merchandise and are now working towards increasing their stock holding variety.
3. Users:
3.1 Our Site is targeted towards the trade and is therefore not for use by individuals or entities who are looking to purchase merchandise for their own personal use.
3.2 Our stock is available for purchase by both individuals and entities who intend to re-sell such products and can be purchased in 1 of 2 of ways:
3.2.1 via Wholesale; or
3.2.2 via Direct Dispatch.
3.3 Our Wholesale option is targeted towards retailers who are looking to stock their shop or are wanting to expand the range of branded merchandise they offer. Users who purchase via the Wholesale function (“Wholesale Users”) will be able to purchase stock in bulk which can then be sold on to their own customers.
3.4 In comparison, the Direct Dispatch option is targeted towards online retailers who are looking for assistance when it comes to the fulfillment of their orders. This option allows individuals and entities (“Direct Dispatch Users”) to market all of the products listed on our Site using their own platform/market place. However, instead of purchasing the stock in bulk, like a Wholesale User, the Direct Dispatch User will only order the products that have been ordered by their customers (“Direct Dispatch Customers”). Taylors Merchandise will fulfill the orders and ship the items directly to the Direct Dispatch Customer on behalf of the Direct Dispatch User using the postal address provided at the time the order is placed.
3.5 These Terms and Conditions also contain important information regarding returns and refunds for orders that are placed on behalf of Direct Dispatch Customers, as well as delivery. For this reason, it is important that all Direct Dispatch Users ensure that they have their own set of terms and conditions that cover such points and that all Direct Dispatch Customers are made aware of such terms upon purchase.
3.6 Please note that Taylors Merchandise will not be liable for any discrepancies between these Terms and Conditions and the terms and conditions provided to the Direct Dispatch Customer upon purchase, as referred to in section 3.5 above. Therefore, it is important that Direct Dispatch Users consider this document when drafting their own terms and conditions, ensuring that Direct Dispatch Customers are not misled, particularly in relation to their rights in regards refunds and returns.
4. Wholesale User:
4.1 Creating an account:
4.1.1 In order to place an order as a Wholesale User, it will be necessary to create an account.
4.1.2 To create a Wholesale account it is necessary to provide the following information:
- Your contact name;
- Your email address;
- Your telephone number;
- Your location and tax details; and
- VAT number (if applicable).
4.1.3 If you have a registered company, you are also asked to enter your company name and address, however, this is not necessary.
4.1.4 Once you have entered the above details, and your account has been approved, a password will be sent to your email address.
4.2 Placing an order:
4.2.1 Once your account has been approved and you have received your password, you are able to start placing orders.
4.2.2 Please note that all stock purchased is to be paid for at the time that the order is placed. Therefore, it will be necessary to enter your payment details along with a billing address and delivery address.
5. Direct Dispatch User:
5.1 Creating an account:
5.1.1 In order to place an order through an order as a Direct Dispatch User, it will be necessary to create an account.
5.1.2 To create a Direct Dispatch account it is necessary to provide the following information:
- Your contact name;
- Your email address;
- Your telephone number;
- Your location and tax details; and
- VAT number (if applicable).
5.1.3 If you have a registered company, you are also asked to enter your company name and address, however, this is not necessary.
5.1.4 Once you have entered the above details and your account has been approved, a password will be sent to your email address. Once received, you will be directed to sign up for a Direct Dispatch subscription which will enable you to start placing orders and take full advantage of the Direct Dispatch service we offer. More details in regards to subscription, including fees and cancellation, can be found in section 6.2 below.
5.2 Purchasing stock/placing orders:
5.2.1 Once your account is set up, you are able to start marketing all of the products that are available on our Site. Any item and/or product description displayed on your own platform or marketplace must be accurate and in line with any guidance or best practice issued by Taylors Merchandise.
5.2.2 Once you receive an order from a Direct Dispatch Customer via your own platform/marketplace, you then need to place an order via the Taylors Merchandise Site using the delivery address provided by the Direct Dispatch Customer.
5.2.3 Please note that all stock purchased/all orders placed are paid for on a weekly basis, as outlined in section 6.2 below.
5.3 Fulfilment of order:
5.3.1 Once an order has been placed by a Direct Dispatch User on behalf of a Direct Dispatch Customer, Taylors Merchandise will fulfill the order by delivering it to the address provided by the Direct Dispatch User at the time the order is placed.
5.3.2 The Direct Dispatch User is responsible for providing all of the necessary information we need in order to fulfill the order, including the Direct Dispatch Customer’s name and postal address.
5.3.3 For more information regarding delivery, cancellation and returns please see the relevant sections below.
6. Payment:
6.1 Wholesale:
6.1.1 All Wholesale purchases are to be paid up front at the time the order is placed. At present our primary payment method is PayPal, including credit card via PayPal, however, we also offer payment via BACS. For more information on how PayPal process your personal data please see their privacy policy.
6.2 Direct Dispatch:
6.2.1 In order to activate your Direct Dispatch account, you must sign up to a subscription. More details on subscription fees can be found here.
6.2.2 If you wish to cancel your subscription, you must give us 30 days written notice of cancellation but will remain under an obligation to pay the full amount of any outstanding subscription term. In any case, if you decide to cancel or terminate your subscription, you will not receive a refund in regards to any paid subscription fees.
6.2.3 If Taylors Merchandise wishes to cancel or terminate your subscription, we will give you 30 days written notice of such termination. In such case, you may be entitled to a partial refund.
6.2.4 If you are found to be in breach of these Terms and Conditions or have failed to rectify an issue that Taylors Merchandise have raised in regards to how items are displayed on marketplaces or in relation to any other matter, we have the right to terminate your subscription with immediate effect. In such case, you will not be entitled to a refund for any subscription fees already paid.
6.2.5 Please note that your subscription does not cover any stock that is purchased from Taylors Merchandise. All stock will need to be purchased separately.
6.2.6 When you open a Direct Dispatch account you will be granted a £200 credit limit which will allow you to place orders. On Friday of every week a statement will be provided outlining how much is due from the previous week. Payment will then need to be made within 3 days of receipt. Until payment is made, no further orders can be placed.
6.2.7 If the £200 credit limit is exceeded, a statement will be provided informing you that your credit limit has been exceeded. In which case, payment will need to be made before any further orders can be placed.
6.2.8 At present our primary payment method is PayPal, however, we also offer BACS. For more information on how PayPal process your personal data please see their privacy policy.
7. Order processing and delivery:
7.1 Taylors Merchandise aims to process and deliver customer orders, including Wholesale orders and orders placed by Direct Dispatch Users on behalf of Direct Dispatch Customers, as smoothly and quickly as possible.
7.2 All orders are shipped to the delivery address provided by the Wholesale User or Direct Dispatch User when they check out.
7.3 Taylors Merchandise offers worldwide delivery via a range of different providers, including, but not limited to, UPS and DPD. The delivery fee and estimated turnaround for delivery will depend on the service provider your choose at checkout. For more information regarding delivery please click here.
7.4 If the items are not received on the estimated delivery date please send an email to enquiries@taylorsmerchandise.com (if you are a Wholesale User) or send an enquiry via our online returns portal (if you are a Direct Dispatch User) so the issue can be investigated.
8. Guarantees and disclaimers:
8.1 At Taylors Merchandise we endeavor to provide high quality products and services.
8.2 Please note that all of our products are designed for re-sale only and should not be purchased for personal use.
8.3 Taylors Merchandise will not be liable for any loss suffered by a user who has purchased stock from us that they are unable to re-sell for any reason.
9. Cancellations:
9.1 As Taylors Merchandise products are sold solely online (i.e. via distance selling) you have the right to cancel any order within 14 days of receiving the products without giving any reason. However, there is some exceptions to this rule, with the right to cancel only applying to goods which are individually worth over £42.
9.2 Please note that the right to cancel does not apply to some products if the packaging has been opened, including undergarments. In these cases, once opened the right to cancel is waived due to health and hygiene laws. If, however, the product has been opened but is defective, including where you have received the wrong size or where the product doesn’t match the description of the product purchased, it may be returned pursuant to the below return policy.
9.3 In order to cancel your order you must inform Taylors Merchandise of your decision to cancel by submitting a request via Taylors Merchandise’s online return portal within 14 days of receiving your order. This request should contain your contact name, company name (if applicable) and order number. Any cancellation requests made after the 14 day period has expired will be dealt with at Taylors Merchandise’s discretion.
10. Returns:
10.1 Wholesale customers:
10.1.1 Unless you have the right to cancel as outlined above in section 9, we do not accept any returns from Wholesale Users unless the items are faulty or damaged as outlined in section 11 below.
10.2 Direct Dispatch:
10.2.1 Irrespective of their legal rights, Taylors Merchandise grants any Direct Dispatch User the right to return or exchange an item in most circumstances including if the Direct Dispatch Customer requires a different size or different colour. In such case, any direct customer can request a refund or exchange by returning the item within 14 days of receipt of the items.
10.2.3 Please note that all returned items must only have been tried on, if applicable, as you would in a retail store and returned in store and should be returned intact in the original packaging with the original labels attached. Similar to a user’s right to cancel, if applicable, this right does not apply to any item that is considered to be an undergarment.
10.2.4 Once Taylors Merchandise have received the returned items, the Direct Dispatch User will be sent an email to confirm receipt and the refund/exchange will be processed.
10.2.5 All shipping costs for returning or exchanging such items under this section will be covered at Taylors Merchandise discretion.
11. Faulty or damaged goods:
11.1 Irrespective of the products you have ordered, whether as a Wholesale User or a Direct Dispatch User, you have the right to return and receive a refund in the following situations:
- the products you received are materially different to the product displayed on Taylors Merchandise Site; or
- the items you received were faulty.
11.2 In these situations you will be asked to return the products within 14 days of receiving them so the products can be inspected before any refund is issued.
11.3 Shipping costs for returning your items when your items are fault or damaged will be covered at Taylors Merchandise’s discretion.
12. Refunds:
12.1 Refunds will only be offered in the following limited situations:
- if a valid cancelation of order is exercised within the 14-day period;
- if the item(s) you received were faulty or damaged; or
- if you are a Direct Dispatch User and you simply wish to return your order within the 14-day period.
12.2 If any of the above situations apply, Taylors Merchandise will return all payments received from you within 14 days from the day on which notification of your cancellation was received and once all items have been returned. Please note that this does not include any delivery charges, unless specified.
12.3 In order to make this repayment, Taylors Merchandise will use the same means of payment that you used in the original transaction, unless expressly agreed otherwise. In the case of a Direct Dispatch User, the refund will credited to your account and will appear on your statement.
13. Intellectual property:
13.1 With the exception of content a user adds to this Site, all content included on this Site, including copyright or trademark material or other intellectual property, belongs to, or is licensed by, Taylors Merchandise. Such content is protected by intellectual property laws and regulations and may not be copied, reproduced or used in any way without express permission from Taylors Merchandise.
14. Limitation of liability:
14.1 Taylors Merchandise accepts no liability for any damages caused to a user either directly or indirectly through the use of this Site.
14.2 Nothing in these Terms and Conditions seek to exclude Taylors Merchandise’s liability for death or personal injury caused by negligence, including negligent actions taken by Taylors Merchandise employees, agents or subcontractors, or for fraud or fraudulent misrepresentation by Taylors Merchandise. Nor does it limit any liabilities otherwise required by law.
14.3 Any liability that does arise is limited to amount paid by the user over the last 3 months.
15. Acceptable use policy:
15.1 This Site must only be used in accordance with these Terms and Conditions.
15.2 You must not use this Site in a manner that is unlawful or fraudulent. This includes, but is not limited to, knowingly causing harm to the Site by uploading, sending or in any other way transmitting data that contains any form of virus or malware or any other code designed to adversely affect computer, hardware, software or data of any kind, or knowingly cause harm to any other user of this Site.
15.3 At the discretion of Taylors Merchandise, any user found to be in breach of these Terms and Conditions will stripped of their account.
16. Links to other Sites:
16.1 Links to third party sites may be included on imbedded into this Site. However, the inclusion of such links are for information purposes only or to increase the Sites functionality and does not imply any endorsement of the sites themselves or those in control of them.
16.2 Unless expressly stated, the third parties that are linked on this Site are not under the control of Taylors Merchandise nor do we assume or accept responsibility or liability for the content on these third party sites.
17. Changes to these Terms and Conditions:
17.1 Taylors Merchandise may alter these Terms and Conditions at any time. In the case that alterations are made, such alterations will become binding on all visitors upon their first visit to the Site after the changes have gone live. For this reason, all visitors and users of this Site are encouraged to check this page and read these Terms and Conditions upon every visit to this Site.
18. Data Protection, Privacy and Cookies:
18.1 These Terms and Conditions have been drafted in line and in accordance with the General Data Protection regulation (“GDPR”), as an enacted into UK law by the Data Protection Act 2018 (“DPA’18”).
18.2 Use of this Site is governed by Taylors Merchandise Privacy Policy and Cookie Policy. These policies are incorporated into these Terms and Conditions by this reference.
19. Severability:
19.1 If any provisions of these Terms and Conditions are found to be unlawful, invalid or otherwise unenforceable by any court or other authority, those specific provisions shall be deemed severed from the remainder of these Terms and Conditions. The remainder of these Terms and Conditions shall be valid and enforceable.
20. Law and jurisdiction:
20.1 These Terms and Conditions, and the relationship between Taylors Merchandise, visitors and users of this Site (whether contractual or otherwise) shall be governed by and construed in accordance with the laws of England and Wales.
20.2 Any disputes concerning these Terms and Conditions, the relationship between Taylors Merchandise, visitors and users, or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the jurisdiction of the court of England and Wales.
